Agreement. These Terms govern access to and use of topbanks.ph and its sub-pages (the "Service"). By using the Service, you agree to these Terms.
1) Who we are (not a bank/advisor)
Topbanks is a technology platform that aggregates publicly available reference information about financial institutions and collects user reviews. We are not a bank, lender, insurer, broker, or financial advisor. Nothing on the Service is financial, legal, tax, or investment advice, a recommendation, or a solicitation to buy/sell/hold any product.
2) Eligibility & accounts
You must be 18+ and able to form a binding contract under Philippine law. Keep your account credentials confidential and accurate. You are responsible for activity under your account and for notifying us promptly of suspected unauthorized access.
3) Information accuracy; verify with the institution
Rates, fees, features, and eligibility criteria change frequently. We strive for accuracy but do not guarantee completeness, timeliness, or accuracy. Always verify details directly with the relevant institution before making decisions.
4) User content & license
You are responsible for what you post. By submitting reviews, ratings, replies, or feedback (UGC), you represent you have the rights to share it and you grant Topbanks a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify (e.g., for formatting/moderation), translate, display, distribute, and create derivative works of your UGC for operating, improving, and promoting the Service. This license ends when you remove your UGC from the Service except for: (a) cached/archived copies; (b) uses already undertaken; and (c) anonymized/aggregated data that doesn’t identify you.
You also grant other users a license to access and use your publicly available UGC through the Service as permitted by these Terms.
5) Acceptable use
Do not, and do not help others to:
- Post illegal content; threats; hate, harassment, or incitement; sexually explicit material; or others’ personal/sensitive data.
- Post false statements presented as facts, paid/sponsored reviews without clear disclosure, spam, scams, impersonation, or content that infringes IP or other rights.
- Probe or interfere with the Service, bypass security, scrape at scale, or misuse any public or private API.
- Attempt to game ratings or reviews (e.g., brigading, fabricated reviews, undisclosed conflicts).
We may moderate (including automated tools), remove content, or suspend accounts to keep the Service safe and lawful.
6) Intellectual property
The Service, including our content, logos, and code, is owned by Topbanks and/or its licensors and protected by law. You may not copy, modify, distribute, or create derivative works except as allowed by these Terms or applicable law.
7) Feedback
If you send ideas or suggestions, you grant us a perpetual, worldwide, royalty‑free license to use them without restriction or compensation.
8) Third‑party links
The Service may link to third‑party sites. We are not responsible for their content, terms, or privacy practices.
9) Beta features & changes
The Service is evolving and may include beta/experimental features. We may change, suspend, or discontinue features without notice.
10) Disclaimers; limitation of liability
The Service is provided as is and as available. To the fullest extent permitted by law, Topbanks disclaims all warranties (express, implied, or statutory) and will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill; or business interruption, even if advised of the possibility. Our total liability for any claim shall not exceed PHP 5,000 or the amount you paid us in the past 12 months, whichever is higher. Some jurisdictions don’t allow certain limits; those limits apply only to the extent allowed by law.
11) Indemnity
You agree to indemnify and hold Topbanks harmless from claims arising out of your UGC, your breach of these Terms, or your violation of law or third‑party rights.
12) Notice of alleged infringement / takedown
If you believe content on the Service infringes your rights or is unlawful, email legal@topbanks.ph with: (a) the URL(s), (b) description of the content, (c) the basis of your claim and supporting evidence, (d) your contact details, and (e) a statement under penalty of perjury that your claim is accurate and you are authorized to act. We’ll review and respond consistent with applicable law.
13) Governing law & venue
These Terms are governed by the laws of the Republic of the Philippines. Courts in Taguig City, Metro Manila shall have exclusive jurisdiction, without prejudice to other venues allowed by law.
14) Changes to Terms
If we update these Terms, we’ll change the Last updated date and, where appropriate, give additional notice. Continued use after changes means you accept the updated Terms.
15) Miscellaneous
Entire agreement: These Terms + referenced policies are the entire agreement between you and us. Severability: If a term is unenforceable, the rest remains in effect. No waiver: Our failure to enforce a term isn’t a waiver. Assignment: You may not assign these Terms without our consent; we may assign as part of a reorganization or transfer of the Service.
